1. Introduction

These Terms of Service (“Terms”) form a legally binding agreement between Kalingo LLC, a company registered in Hungary (hereinafter “Kalingo”, “we”, “us”, “our”), and you, the Customer (“Customer”, “you”, “your”), regarding the use of the Kalingo All-in-One Marketing Platform (“Service”, “Platform”).

By registering for or using the Service, you confirm that you are acting in a business or professional capacity, not as a consumer, and that you accept these Terms.

These Terms incorporate by reference the Privacy Policy, Data Processing Agreement (DPA), Acceptable Use Policy (AUP), and Cookie Policy.

2. Scope of Service

Kalingo provides access to a subscription-based cloud software platform (SaaS) for marketing automation, CRM, website and funnel building, and related digital services.

The Service is provided “as is” and “as available.” While we strive for high availability and performance, no absolute guarantee is made that the Service will be uninterrupted or error-free.

Features and functionalities may be improved, updated, or modified from time to time without materially reducing the overall service level.

3. Registration and Accounts

Access to the Service requires registration and account creation. Customers must provide accurate and complete information.

Each account is limited to the Customer’s business. Sharing credentials with unauthorized third parties is prohibited.

Customers are responsible for maintaining account security. Kalingo shall not be liable for damages resulting from compromised credentials.

4. Free Trial

Kalingo may offer a 14-day free trial of the Service.

The trial is provided once per Customer and is non-transferable.

At the end of the trial, continued use requires selecting a subscription plan and providing valid payment details.

During the trial, all provisions of these Terms (including AUP and DPA) apply.

5. Subscriptions, Fees, and Payments

After the trial, access is subject to subscription fees as set out on our website or commercial offer.

Subscription fees are invoiced in advance and payable in accordance with the billing cycle.

Unless otherwise agreed, subscriptions automatically renew for successive billing periods until cancelled.

All fees are exclusive of VAT and other applicable taxes, which shall be borne by the Customer.

Failure to pay may result in suspension or termination of access.

6. Term and Termination

These Terms remain effective while you maintain an active subscription.

The Customer may terminate the subscription at any time with effect from the end of the current billing cycle.

Kalingo may terminate or suspend access immediately if the Customer:

breaches these Terms or the AUP;

fails to pay fees;

uses the Service in a manner that violates applicable laws.

Upon termination, Customer data will be handled in accordance with the Data Processing Agreement (return or deletion).

7. Customer Obligations

Customers act as Data Controllers for personal data entered into the Platform and must ensure lawful processing under GDPR and applicable laws.

Customers may not use the Service for:

sending unsolicited communications (spam);

unlawful, infringing, defamatory, or harmful activities;

reverse engineering or exploiting the Platform.

Customers remain responsible for the legality of content and communications generated through the Service.

8. Intellectual Property

Kalingo retains all intellectual property rights in the Platform and related materials.

Customers retain ownership of their own data and grant Kalingo a limited license to process it solely for Service provision.

9. Data Protection

Kalingo acts as:

Data Processor for Customer CRM/marketing data processed on behalf of Customers;

Data Controller for its own customer account, billing, and support data.

Data processing terms are governed by the Data Processing Agreement (DPA).

Privacy practices are set out in the Privacy Policy.

10. Liability and Indemnification

To the maximum extent permitted by law, Kalingo excludes liability for indirect, incidental, or consequential damages.

Kalingo’s total liability under these Terms shall not exceed the total fees paid by the Customer in the 12 months preceding the event.

Customers shall indemnify Kalingo against claims or damages arising from unlawful or non-compliant use of the Service.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Hungary and applicable EU law.

All disputes shall fall under the exclusive jurisdiction of Hungarian courts.

12. Amendments

Kalingo may amend these Terms from time to time. Customers will be notified of material changes. Continued use of the Service after changes take effect constitutes acceptance.
